1. Acceptance of Terms

By accessing or using Flying Bears Talent.AI ("FLB," "we," "us," or "our") and its AI-powered character creation and social media content generation platform (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you must not access or use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the effective date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. Service Description

Flying Bears Talent.AI is an AI-powered platform that enables users to:

• Create and customize AI characters with specific visual attributes, personality traits, and configurations
• Generate AI-powered images and poses based on character configurations
• Create and manage social media content using generated characters
• Publish content to connected social media platforms

The Service is provided on an "as available" basis. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Registration and Security

To use the Service, you must create an account using Google OAuth authentication. By creating an account, you represent that:

• You are at least 16 years of age
• The information you provide is accurate and complete
• You will maintain the security of your account credentials
• You will promptly notify us of any unauthorized access to your account

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage resulting from unauthorized use of your account.

4. Subscription Plans and Billing

The Service offers the following subscription tiers: Free, Pro, and Enterprise. Details of each plan, including features, limitations, and pricing, are described on our pricing page.

• Payment and Billing: Paid subscriptions are billed in advance on a monthly basis. You authorize us to charge your designated payment method for all applicable fees.
• Free Trial: If we offer a free trial period, you may be required to provide payment information. You will not be charged until the trial period ends, unless you cancel before that time.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial billing periods.
• Price Changes: We may change subscription prices with at least 30 days notice. Price changes take effect at the start of your next billing period following the notice.

5. User Responsibilities and Acceptable Use

You agree to use the Service in compliance with all applicable laws and regulations. You are solely responsible for:

• All content you create, generate, or publish using the Service
• Ensuring your use of generated content does not infringe on the rights of others
• Maintaining the confidentiality of your account credentials
• Any social media content published through the Service to your connected accounts

6. AI-Generated Content

• Ownership: Subject to these Terms, you retain ownership of the character configurations you create. For AI-generated images and content produced by the Service, you are granted a non-exclusive, worldwide license to use, modify, and distribute such content for personal and commercial purposes, subject to the restrictions in these Terms.
• No Guarantee of Uniqueness: AI-generated content is produced by machine learning models. We do not guarantee that generated content will be unique, original, or free from similarities to other generated or existing content.
• Quality and Accuracy: AI-generated content may contain imperfections, artifacts, or unexpected results. We do not guarantee the quality, accuracy, or suitability of generated content for any particular purpose.
• Content Storage: Generated content is stored on our servers and associated with your account. You are responsible for maintaining your own backups of any content you wish to preserve.

7. Prohibited Uses

You must not use the Service to:

• Generate content that depicts real individuals without their consent
• Create content that is sexually explicit, pornographic, or exploitative
• Generate content that promotes violence, hatred, discrimination, or harassment
• Create content that infringes on copyrights, trademarks, or other intellectual property rights
• Impersonate other individuals or entities
• Generate content for the purpose of fraud, deception, or misinformation
• Attempt to reverse-engineer, decompile, or extract the underlying AI models
• Circumvent any usage limits, access controls, or security measures
• Use automated tools (bots, scrapers) to access the Service without our written permission
• Resell, sublicense, or redistribute the Service itself

We reserve the right to investigate and take appropriate action against any violations, including account suspension or termination.

8. Intellectual Property

• Service IP: The Service, including its design, software, AI models, algorithms, documentation, and branding, is owned by FLB and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.
• User Content: You retain ownership of the original content and configurations you provide to the Service (such as character descriptions and settings). By using the Service, you grant us a limited, non-exclusive license to process this content solely for the purpose of providing and improving the Service.
• Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: the Service will be uninterrupted, error-free, or secure; the results obtained from using the Service will be accurate or reliable; any defects in the Service will be corrected; or the Service will meet your specific requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLB AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the liability, or ten thousand Japanese yen (10,000 JPY), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Account Termination and Suspension

• By You: You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately.
• By Us: We may suspend or terminate your account if: you violate these Terms; your use of the Service poses a security risk; your account has been inactive for an extended period; or we are required to do so by law.
• Effect of Termination: Upon account termination, we will delete your account data in accordance with our Privacy Policy. Any provisions of these Terms that by their nature should survive termination shall continue in effect.

12. Modifications to Service and Terms

We reserve the right to modify, update, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that significantly affect your use of the Service.

We may revise these Terms from time to time. The most current version will always be available on this page. Material changes will be communicated through the Service or via email.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us. We will work in good faith to resolve any issues within 30 days.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
